Areas of Practice
Peter I. Dunn is a Shareholder and Director of Craig and Macauley Professional Corporation. He practices in the areas of corporate and securities law, restructurings and workouts. His corporate and securities work includes mergers and acquisitions, joint ventures, private placements of debt and equity securities including angel, bridge and venture capital financings. He also counsels companies and individuals with routine business issues involving contracts, employment, compliance and governance. His representation of creditors and debtors includes loan workouts and restructurings both inside and outside of bankruptcy. Mr. Dunn is an active member of Craig and Macauley’s working group focusing on the sale and acquisition of distressed assets. Mr. Dunn represents foreign and domestic public and private clients in a number of different industries, including life sciences, medical devices, green technology, and finance. He also represents emerging companies in all phases of their start-up activities, from formation to raising capital and exits.
Mr. Dunn has written and presented on legal issues affecting the business community. His activities include the co-chairing of expert panels in recent Massachusetts Continuing Legal Education seminars on contract drafting and negotiations which were widely attended by members of the bar, and the publication in the Boston Business Journal of his article entitled Avoid Wage Act Land Mines. He is the author of a chapter on public sources of financing in the recent publication, Financing a Massachusetts Business, edited by John M. Hession.
Awards and Professional Activities
Mr. Dunn was named a Rising Star in the Rising Stars Edition of Law and Politics and Boston Magazine – a peer designated award given to no more than 2.5 percent of the lawyers in the state. He is a member of the Mergers and Acquisitions and Corporate Law committees of the Boston Bar Association and of the Business Law section of the Massachusetts Bar Association. Mr. Dunn serves on the curriculum committee of the Business Law Section of Massachusetts Continuing Legal Education. He also serves on the Board of Trustees of the Summit Montessori School in Framingham, Massachusetts.

Representative Matters
- Represented senior executives of a private equity-backed company in sale of the company to a strategic buyer with respect to their individual employment matters, equity roll-over and shareholders’ agreement.
- Represented a bio-pharmaceutical start-up in a bridge financing of convertible promissory notes issued to U.S. and European investors.
- Counseled a green technology company in recapitalization and work-out plan outside of bankruptcy which reduced the company’s debt by 60% allowing it to raise new equity capital.
- Represented a buyer of transportation services companies in simultaneous acquisition of the two largest providers in a major market. Negotiated and closed a financing package of bank and mezzanine debt and a private placement of equity securities.
- Represented bio-manufacturing start-up in strategic co-exclusive licensing, supply and asset sale agreement.
- Represented a start-up in securing an intellectual property license for medical devices from Massachusetts General Hospital.
- Counseled a large mechanical engineering construction subcontractor with respect to bankruptcy filing by large general contractor resulting in 98.5% recovery for client.
- Advised Dutch and U.S. companies in establishment of a bio-manufacturing joint venture.
- Represented entrepreneur in the formation of an e-tail company including structuring the operating entity and raising of equity capital.
- Counseled Indian publisher in the acquisition of U.S.-based graphics and composition firm serving the book publishing industry.
- Represented green technology investors in the acquisition of California-based company and a private placement of equity securities.
- Counseled a Harvard professor in organizing a start-up and securing an intellectual property license for medical device from Harvard’s technology transfer office.
- Represented internet-based medical content start-up. Counseled the corporation in its formation, fundraising activities, acquisition of a competitor and eventual sale to a strategic buyer.
Education
Mr. Dunn received his Bachelor of Arts from the University of Massachusetts at Amherst in 1994 (cum laude/ Phi Beta Kappa) and his Juris Doctor from Boston College Law School in 1998 (magna cum laude), where he was a member of the Philip C. Jessup International Moot Court Team.
